CLNS Media Network Giveaway
OFFICIAL RULES:
1. Eligibility: The CLNS Media Network Giveaway (the “Giveaway”) is open to all natural persons who are legal residents of one of the 50 United States or the District of Columbia and at
least 18 years of age at the time of entry. NO PURCHASE OR SUBSCRIPTION IS
NECESSARY. Product purchases, subscriptions or other interactions with CLNS Media
Network or CLNS Media Network’s parent company, North Station Media, LLC (“North
Station”), will not increase the chance of winning. The Giveaway is void outside the USA, in
Puerto Rico, the US Virgin Islands, and other United States territories and possessions. The
Giveaway is subject to all applicable federal, state and local laws and regulations and is VOID
WHEREVER PROHIBITED BY LAW. See below for more details regarding eligibility
restrictions. Executives, officers, and employees of North Station or of social media platforms
carrying the CLNS Media Network podcasts, content, sponsors, network partners, affiliates, and
other vendors or independent contractors of North Station, persons working on the Giveaway at
any level in any capacity or working for North Station or any outside companies or agencies
involved in the Giveaway, previous winners, and immediate family members of anyone who
falls into any of the foregoing categories are not eligible.
2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Official Rules and you represent and warrant that you meet the eligibility requirements set forth
herein. In addition, you agree to accept the decisions of North Station, as final and binding as it
relates to the content.
3. How to Enter: The Giveaway must be entered by submitting an entry using the online form
provided on this Giveaway site, located at https://www.clnsmedia.com. The entry must fulfill all
Giveaway requirements, as specified, to be eligible to win a prize. Entries that are not complete
or do not adhere to the rules or specifications may be disqualified at the sole discretion of North
Station. You may enter only once and you must fill in the information requested. You may not enter more times than indicated by using multiple email addresses, identities or devices in an
attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to
circumvent the rules your submission may be removed from eligibility at the sole discretion of
North Station.
4. Entry Period: North Station will accept Online entries beginning 6:00 AM EST on April
10, 2024, through 11:59 PM EST on April 17, 2024 (“Entry Period”). North Station must receive your Giveaway entry during the Entry Period for your entry to be eligible to win.
5. Prize(s): The winner will receive ONE KRISTAPS PORZINGIS AUTOGRAPHED CELTICS JERSEY. The specifics of the prize shall be solely determined by North Station. No cash or other prize substitution permitted except at North Station’s discretion. The prize isontransferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for North Station to use winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.
6. Selection of Winner: The winner of the Giveaway will be selected in a random drawing
under the supervision of North Station. The winner will be notified via email to the email address
submitted at entry within five (5) days following the winner selection. North Station shall have
no liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other
security settings or for winners’ provision of incorrect or otherwise non-functioning contact
information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize
within 72 hours from the time award notification was sent, or fails to timely return a completed
and executed declaration and releases as required, prize may be forfeited, and an alternate winner
selected. The receipt by winner of the prize offered in this Giveaway is conditioned uponcompliance with any and all federal and state laws and regulations. ANY VIOLATION OF
THESE OFFICIAL RULES BY ANY WINNER (AT NORTH STATIONS’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER
OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY
TERMINATED.
7. Winner’s Obligations: The winner shall execute and return to North Station an affidavit of eligibility, a North Station liability release, and any appropriate and applicable IRS forms. The
winner shall satisfy all the foregoing obligations within seven (7) business days of North Station
giving the winner notice of being the winner and, furthermore, shall be available as provided and
described in section 6 above. Failure or refusal to comply with these obligations shall result in
the winner being disqualified and forfeiting the prize.
8. Further Agreement and Rights Granted by You: By entering the Giveaway, you agree to
abide by the terms of these Official Rules and by the decisions North Station makes regarding the Giveaway, which decisions are final and binding on all matters. Any person refusing to agree
with these terms shall not enter the Giveaway and is ineligible to win. Also, by entering this
content you understand that North Station, anyone acting on behalf of North Station, or its
respective licensees, successors and assigns will have the right, where permitted by law, without
any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide
in any media now known or hereafter in perpetuity and throughout the World, your entry,
including, without limitation, the entry and winner’s name, portrait, picture, voice, likeness,
image or statements about the Giveaway, and biographical information as news, publicity or
information and for trade, advertising, public relations and promotional purposes without any
further compensation.
9. Cumulative Prize: The estimated total value of the Giveaway prize is $200. Actual/appraised value may differ at time of prize award.
10. Entries Not Received: North Station is not responsible for lost, late, or misdirected entries or for any computer, online, telephone, or technical malfunctions that may occur. All entries become North Station’s property and will not be returned. Neither product purchases nor email
or mobile opt-ins will increase your chances of winning
11. Announcing Winner: The winner will be announced on or before APRIL 19, 2024.
12. Release: You agree that (a) any and all disputes, claims, and causes of action arising out of,
or connected with, the Giveaway or any prize shall be resolved individually, without resort to
any form of class action, and shall be resolved exclusively in accord with the provisions set forth
in paragraph 14 below, (b) any and all claims, judgments, and awards shall be limited to actual
out-of-pocket costs incurred, including costs associated with entering, but in no event attorney’s
fees, and (c) under no circumstances will you be permitted to obtain awards for, and you hereby
waive all rights to claim, punitive, incidental, and consequential damages and any other
damages, other than out-of-pocket expenses, and any and all rights to have damages increased or
multiplied. SOME JURISDICTIONS PROHIBIT EXCLUSION OF LIABILITY FOR
INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO PORTIONS OF THE ABOVE MAY
NOT APPLY. All issues or questions concerning validity, construction, interpretation, or enforceability of these Official Rules, your rights or obligations, or the rights or obligations of
North Station, shall be governed by, and construed in accordance with, the laws of the
Commonwealth of Pennsylvania, without regard to any choice of law Rules.
12. Release: You agree that (a) any and all disputes, claims, and causes of action arising out of,
or connected with, the Giveaway or any prize shall be resolved individually, without resort to
any form of class action, and shall be resolved exclusively in accord with the provisions set forth
in paragraph 14 below, (b) any and all claims, judgments, and awards shall be limited to actual
out-of-pocket costs incurred, including costs associated with entering, but in no event attorney’s
fees, and (c) under no circumstances will you be permitted to obtain awards for, and you hereby

13. Termination of Giveaway: North Station reserves the right, at its sole discretion, to disqualify anyone who tampers with the entry process, and to cancel, terminate, modify, or
suspend the Giveaway if anything required for conducting the Giveaway malfunctions or is
deemed illegal. If this Giveaway is terminated prior to the end of any Entry Period, which North
Station may do at its sole discretion, North Station will post a notice on
https://www.clnsmedia.com.
14. Jurisdiction and Venue: The Giveaway shall be governed by, and construed in accordance
with, the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law
or conflict of laws rules, whether of the Commonwealth of Pennsylvania or any other
jurisdiction, which would cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania. Void wherever prohibited for any reason. All disputes resulting
in legal action shall be resolved in the appropriate court in Luzerne County, Pennsylvania.
Should North Station find it necessary to seek legal assistance to enforce its rights, its damages,
if any, shall include its reasonable legal expenses and fees, including reasonable attorney fees.
15. Limitations on Liability: By entering you agree to release and hold harmless North Station and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury,
death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by
negligence or not, from (i) your participation in the Giveaway and/or his/her acceptance,
possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind,
including but not limited to the malfunctioning of any computer, cable, network, hardware or
software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet
service; (iv) unauthorized human intervention in any part of the entry process or the Promotion;
(v) electronic or human error which may occur in the administration of the Promotion or the
processing of entries.
